    Oct 20 (Reuters) – Marlboro maker Philip Morris International Inc on Thursday raised its buyout bid for Swedish Match AB in a last-ditch effort to get
    backing for its $16 billion offer that has been met with shareholder opposition.

    Although Philip Morris raised its bid by more than 9% to 116 Swedish crowns per share
    and called its „best and final price”, some Swedish Match shareholders seem
    to be holding out for more.

    Their concern is that the total value of the new offer is little changed from the original bid
    due to the appreciation in the U.S. currency against the Swedish krona.

    „Let’s just say it’s silly on an almost biblical scale not to neither compensate for the USD/SEK appreciation since the launch of the bid, nor the ongoing inflation,” said Pontus Dackmo, chief executive of
    Protean Funds who has 500,000 shares in Swedish Match.

    He, however, declined to comment on whether the
    fund would tender its shares in light of the increased offer.

    In May, Philip Morris made an all-cash offer of 106 crowns per share for Stockholm-based Swedish Match.

    Since then, the company has been under pressure to increase the offer as hedge funds, including
    Elliott Management Corp, have bolstered their stakes in Swedish Match in anticipation of a sweetened bid.

    Bloomberg reported in July that Elliott, which raised its stake in Swedish Match to 7.25% from 5.5% in September, was planning to oppose the
    deal as it was not in favor of the offer terms,
    when the bid was first revealed.

    A source told Reuters last month that Elliott was also considering taking a seat on the
    board of the Stockholm-based maker of Zyn nicotine pouches.

    Swedish Match and Elliott declined to comment on Philip Morris’ revised offer.

    John Hempton, co-founder of Sydney-based Bronte Capital that owns
    1% of Swedish Match, said he was still not intending to
    accept the bid, despite the increased offer price.

    „It is wonderful news. Philip Morris has announced that they are not waiving the 90 percent acceptance condition. The deal will fail and Swedish Match will remain an independent company,” Hempton said.

    By Swedish law, 90% of Swedish Match shareholders need to approve
    the offer before Nov. 4. Philip Morris said on Thursday that
    it still stood firmly on the 90% acceptance rate.

    „We do not think this will be enough,” Jefferies analyst Owen Bennett said, adding that he expects Philip Morris to lower the 90% acceptance condition in the next few weeks.

    The revised bid also comes as Philip Morris bought rights to sell its IQOS heated
    tobacco products in the United States from Altria Group Inc for $2.7 billion.

    The company, which was spun off from Altria in 2008, has said it wanted smoke-free products
    to account for more than half of its sales by 2025.

    Shares of Swedish Match rose about 2%, but were still nearly 4 crowns short of the offer price, while
    Philip Morris’ stock was down marginally.

    LONDON, July 16 (Reuters) – Health campaigners have written to U.S.
    regulators accusing Philip Morris International of misrepresenting past regulatory decisions,
    seeking to disrupt the launch of its flagship
    heated tobacco device IQOS in the United States.

    The world’s biggest tobacco company by market value has spent billions
    of dollars developing the product, which investors see
    as key to driving future growth. But it needs permission from the U.S.
    Food and Drug Administration to sell it in the world’s
    second largest tobacco market by revenue.

    Six anti-tobacco and health groups, including the Campaign for Tobacco-Free
    Kids, the American Academy of Pediatrics and the American Lung Association, wrote to the FDA to oppose IQOS-related applications PMI
    has submitted to the agency.

    „PMI has repeatedly made misleading and deceptive statements wrongly suggesting that the FDA has found that IQOS reduces the risk of disease,” the letter, dated June 27 and reviewed by
    Reuters, said.

    The campaign groups allege that PMI violated the FDA’s orders by suggesting IQOS offered lower risks than cigarettes.
    Their letter cited four examples of such statements in the
    United States, the Philippines, Mexico and Kazakhstan.

    They also said in the letter that upcoming independent
    studies contradict PMI’s findings about how many IQOS users completely switch to the device from cigarettes.

    Presentations on the studies from the International Tobacco Control Project
    (ITC) at Canada’s University of Waterloo are attached to the
    letter as exhibits.

    They show the ITC found a far lower rate of IQOS users had quit smoking in Japan and Korea than estimates from PMI.

    These factors „directly bear on whether PMI should be permitted to market IQOS” in the United States, the campaigners’ letter said.

    The contents of the letter have not been previously
    reported.

    Asked by Reuters to respond to the letter, a PMI spokesperson said the company was proud to discuss the FDA’s conclusions on IQOS.

    The spokesperson did not initially address each example but said some of the language flagged by campaigners was, in the company’s view,
    compatible with the FDA’s orders. On Tuesday, the
    spokesperson added that this was true all of the language cited in the campaigners’ letter.

    „Wherever we discuss our science and our products, we do so in accordance with all applicable laws,” the spokesperson said.

    Reuters could not determine whether the campaigners’ letter would change the FDA’s approach to IQOS.
    The agency said it had received the letter and
    would respond directly to the senders. It did not comment further.

    Devices like IQOS heat up sticks of ground tobacco without burning
    them in an attempt to avoid the harmful chemicals released via combustion.

    The FDA first authorised PMI to sell an older version of IQOS in 2019.
    It subsequently authorised the company to market it as offering reduced exposure to harmful
    chemicals versus cigarettes for smokers who completely switch
    – known as an „exposure modification order”.

    The FDA can also issue a „risk modification order”, authorising a company to claim its product reduces
    the risk of tobacco-related harm and disease. But this is harder to prove,
    especially without long-term, epidemiological studies.

    The FDA rejected PMI’s previous application to say its older
    IQOS device results in reduced health risks, saying there wasn’t
    sufficient evidence to support this.

    PMI applied in 2023 to renew its existing
    exposure modification orders. Later that year, it also applied to sell and market a newer version of
    the IQOS device in the same way. The FDA has yet to decide on these applications.

    Marketing the product as having health benefits compared to
    traditional cigarettes could help PMI persuade consumers to switch as well
    as afford it tax benefits versus cigarettes in some U.S.

    states.

    PMI is preparing to sell an older IQOS device in four U.S.
    cities. However, it has said it will not pursue
    a full U.S. launch until the newer version of its device gets FDA authorisation.

    SWITCH RATES

    The campaign groups also cited preliminary data from ITC studies in Japan and Korea,
    saying it contradicted PMI’s findings about how many IQOS users completely switch from cigarettes.

    The studies have been presented at academic conferences but
    have not yet been submitted for publication in a journal, ITC researchers told Reuters.
    As a result, study abstracts have been peer reviewed but
    the full findings have yet to go through that process.

    Japan is IQOS’ largest market and the introduction of
    heated tobacco there coincided with an accelerated decline in cigarette sales.

    PMI estimates more than seven out of 10 of its registered IQOS
    customers globally have quit cigarettes. A 2023 PMI
    application to the FDA emphasised that the majority of IQOS users were using IQOS
    exclusively.

    However, the ITC’s researchers put the percentage of
    all IQOS users that had quit smoking at just 15% in Japan and 30% in Korea in 2021.

    Users most commonly used IQOS and cigarettes simultaneously, known as
    „dual use”, often leading to an overall increase in tobacco consumption, the ITC researchers found.

    PMI pointed to a 2019 Japanese government health survey, where 75% of respondents who
    reported using heated tobacco said they did not smoke.

    However, a paper published this year, led by researchers from Georgetown University, highlighted flaws
    in the government’s survey, including changes to the question format that can lead to under-reporting of smoking.

    Other surveys have also found higher rates of dual use than the government, it said.

    'impressive’ weight loss for their latest flick.

    The 38-year-old singer was recognized by her 49-year-old co-star – who revealed he 'almost lost
    his mind’ due to his diet – during a press conference for Joker: Folie à Deux at the Venice Film Festival on Wednesday.

    Joaquin was discussing his personal weight loss for the original 2019 film before praising the Poker Face hitmaker whose real name is Stefani Germanotta.

    He said: 'Stefani also lost a lot of weight.

    'I remember when I first met you in rehearsals and then you went away
    for like a month and then you came back, you lost a
    lot of weight.’

    Gaga told her co-star: 'I think we transformed into
    our characters over a period of time and we continued to hone in every
    kind of detail.’

    The last time that actor Joaquin played The Joker, he had to
    drop over forty pounds (three and a half
    stone). He went on a diet of lettuce, asparagus and apples which
    he said made him almost lose his mind.

    Five years later he has returned to the Oscar-winning role again in Joker: Folie a Deux –
    and says that he had to lose almost the same amount of weight once more, and is never doing it
    again.

    Speaking at the Venice Film Festival he said:
    'I’m not going to talk through specifics of the diet,
    because I just think nobody wants to hear that.

    'But this time, it felt a bit more complicated just because there was so much dance rehearsal that we were doing, which I didn’t
    have last time. 

    'It felt a bit more difficult, but it is safe.
    But you’re right, I’m now 49, I probably shouldn’t do this again. This is probably it for me.’

    do so again

    He added: 'I know I was responsible last time for talking about it, but it’s difficult to do so. 

    'That becomes your obsession because you’re working the entire time to get
    to a certain weight.

    'So then you end up talking about it, and then it just sounds like an actor going on and on about how much weight they lost.

    'By the end of that run I was so sick of myself and angry at myself for making
    such a big deal about that part, because you just do what you’re ****ing supposed to
    do. So this time I was like, 'I’m not going to do that’.’

    He then whispered: 'It was 47 pounds,’ before adding: 'No, I’m joking.

    I don’t know.’

    Co star Lady Gaga, who plays a music therapist at Arkham Asylum, said: 'We rehearsed the waltz in the film for two months
    which kind of falls apart. 

    'When Joaquin was too hungry we fed him blueberries.’

    Phoenix said: 'Part of the joy for me was to take standards and find a way that was specific
    to the characters. 

    'That was part of what was interesting for us. We started off with references like Frank Sinatra and Sammy Davis
    Jr and we started to emulate that sound.’

    Speaking at the Venice Film Festival he said: 'I’m not going to talk through specifics of the

    last time,’ Joaquin said of the weight loss this time round 

    Joaquin’s weight loss for the first film somewhat 'obsessed’
    with his weight where he also developed a 'disorder’ over pounds (Seen left in the first film and right ahead
    of filming)

    He added that his co-star Lady Gaga, real name Stephanie Germanotta 'wanted to
    sing live and I did not. In the end, every part of the recording was live.’ 

    Gaga said: 'The way music is used is to give characters a way to express themselves
    because the dialogue is not enough.’ 

    She had to forget her professional training: 'It was about unlearning technique and forgetting how to breathe.’

    Director Todd Phillips said that he felt the pressure after the success of The Joker. 

    He said: 'I’m more nervous of this one than the first one.
    The first one we were under the radar, this one everyone was writing on the
    internet about it.’

    The Warner Bros film is released on October 4th.

    After the release of the first film, Joaquin shut down rumours he only ate an apple
    a day to achieve his astonishing weight loss, telling Access Hollywood that he consumed more food than that  ⁠— though not much more.  

    'It wasn’t an apple a day. No, you’ve also got
    lettuce and steamed green beans,’ he said of what he ate
    in preparation for the role. 

    The actor previously admitted that 'you
    start to go mad when you lose that amount of weight in that amount of
    time’

    While speaking with Access Hollywood, Joaquin explained
    he consulted with a doctor to ensure he lost weight as safely as possible

    Although Joaquin has lost weight for roles before, he
    admitted that 'Joker’ director Todd Phillips didn’t make
    it easy on him. 

    The Her star recalled how the producer always had the one
    food item he craved on hand, which made his diet a bit more of a struggle. 

    'Todd did have these f*****g pretzels that I love. And he’d just have bags
    of them in his office!’ he said. 'And that was difficult.’ 

    Joaquin’s character is wearyingly thin in the film, and he admitted that he had reservations about taking on such a drastic
    weight loss. 

    'It’s a horrible way to live,’ he told the New York Times.
    'I think [the Joker] should be kind of heavy.
    Todd was like, 'I think you should do the real thin person.”

    Joaquin previously said his extreme diet helped him prepare for the role in more ways than one. 

    'The first thing for us was the weight loss — I think that’s really what I
    started with,’ he said of working with the film’s director. 

    'And, as it turns out, that then affects your psychology. You start to go mad when you lose that amount of weight in that amount of time.’
